Agreement Overview

These Terms of Service ("Terms") govern your use of Celere.io and related services provided by Praecise LTD, a company registered in England and Wales. By accessing or using our platform, you agree to be bound by these Terms.

1. Definitions

"Platform" refers to Celere.io and all associated services, APIs, and interfaces.

"Company," "we," "us," or "our" refers to Praecise LTD, registered in England and Wales.

"User," "you," or "your" refers to any individual or entity using our Platform.

"AI Agents" refers to autonomous software entities that can perform transactions through our Platform.

2. Platform Description

Celere provides non-custodial financial infrastructure and payment orchestration services for both human users and AI agents. We facilitate transactions through regulated third-party providers without holding or controlling user funds. Our services include:

  • Identity verification and KYC/KYB compliance orchestration through Persona
  • Multi-provider payment routing and facilitation via Stripe, Circle, and other regulated partners
  • AI agent authentication and ownership verification
  • World ID integration for proof of personhood
  • Secure transaction orchestration and monitoring
  • Immutable audit trails through Pillars Foundation infrastructure
  • Trusted execution environment (TERE) for AI agent operations

Important: Celere does not hold, custody, or control user funds. All funds are held by regulated third-party providers such as Stripe and Circle.

3. Account Registration and Verification

To use our Platform, you must create an account and complete our verification process. This includes:

  • Providing accurate and complete information
  • Completing KYC (Know Your Customer) or KYB (Know Your Business) verification
  • Maintaining the security of your account credentials
  • Promptly updating any changes to your information

You are responsible for all activities that occur under your account.

4. AI Agent Terms

Celere's Agentic Framework enables AI agents to operate autonomously within the TERE (Trusted Execution Environment). When creating and operating AI agents on our Platform:

  • You remain fully responsible for all actions taken by your AI agents
  • AI agents must operate within configured spending limits and compliance parameters
  • All agent transactions are recorded on Pillars Foundation's immutable infrastructure
  • You must ensure AI agents comply with all applicable laws and regulations
  • Agent swarms and collaborative networks require proper ownership verification
  • TERE execution provides cryptographic attestation of agent operations
  • We reserve the right to suspend AI agents that violate these Terms or exhibit unsafe behavior

Agent Liability: All AI agent actions, including payments and service calls, are attributed to and remain the responsibility of the verified human or organization owner.

5. Prohibited Uses

You may not use our Platform for:

  • Illegal activities or transactions
  • Money laundering or terrorism financing
  • Circumventing sanctions or trade restrictions
  • Fraudulent or deceptive practices
  • Unauthorized access to our systems or user accounts
  • Activities that violate intellectual property rights

6. Payment Terms

Our Platform facilitates payments through regulated third-party providers including Stripe, Circle, and other licensed financial institutions. Celere acts as a technology facilitator and does not hold, custody, or control user funds. By using our payment facilitation services:

  • You authorize us to facilitate transactions through our regulated partners
  • You agree to pay applicable platform fees as outlined in our pricing
  • You understand that your funds are held by third-party providers, not Celere
  • You agree to comply with the terms of service of our payment partners
  • Refunds and disputes are subject to the policies of the relevant payment provider
  • Transaction records are maintained on Pillars Foundation's immutable infrastructure

Non-Custodial Service: Celere provides technology infrastructure only. Your funds remain under the custody and control of regulated third-party providers at all times.

7. Privacy and Data Protection

Your privacy is important to us. Please review our Privacy Policy, which explains how we collect, use, and protect your information. By using our Platform, you consent to our data practices as described in our Privacy Policy.

8. Limitation of Liability

To the maximum extent permitted by law, Praecise LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or use, arising out of or relating to your use of the Platform.

Our total liability shall not exceed the amount of fees paid by you in the twelve months preceding the claim.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

10. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through our Platform. Your continued use of the Platform after such notice constitutes acceptance of the updated Terms.
